Terms of service.

These terms govern your use of the blankit platform. By creating an account, subscribing, or otherwise accessing the service you agree to them on behalf of yourself and the firm you represent. If you do not agree, do not use the service.

1.The parties

These Terms of Service ("Terms") form an agreement between Blankit Health Inc. ("blankit," "we," "our"), a Canadian corporation, and the firm, advisor, or organization ("you," "your," "Customer") that subscribes to or otherwise uses the blankit platform (the "Service").

If you accept these Terms on behalf of a firm, you represent that you have authority to bind that firm. The firm and the individual accepting are jointly responsible under these Terms.

2.The service

blankit is a software-as-a-service platform for Canadian group benefits advisors and managing general agencies. It supports client-book management, carrier renewal analysis, plan-design benchmarking, document comparison, and an optional plan-member chatbot.

The Service is provided as-is from time to time, with features added, changed, or removed as the product evolves. Material reductions in functionality to a paid tier will be communicated by email to firm billing contacts at least 30 days before they take effect.

3.Eligibility and accounts

The Service is intended for licensed Canadian group benefits advisors, MGAs, consultants, and their authorized staff. You must be at least the age of majority in your province and legally able to enter into a binding contract.

You are responsible for: (a) the accuracy of the information you submit during signup, (b) maintaining the confidentiality of your credentials and any two-factor secrets, (c) all activity that occurs under your account, and (d) promptly notifying us at chris@blankit.ca of any suspected unauthorized access.

4.Subscriptions, fees, and billing

Paid subscriptions are billed in advance through Stripe in the currency and on the cadence shown on the order page or order form (monthly or annual). All fees are quoted in Canadian dollars and are exclusive of applicable taxes (GST, HST, QST, PST), which we will add where required.

Unless an order form expressly says otherwise, subscriptions automatically renew at the end of each term at the then-current rate. You may cancel before the next renewal from within the application or by emailing chris@blankit.ca; cancellation takes effect at the end of the current paid term.

Fees paid are non-refundable except where required by law or expressly stated in writing by us. If we increase fees for a renewing term, we will notify the firm billing contact at least 30 days before the new term begins; if you do not accept the change you may cancel before the term renews.

During any early-access or free tier we may publish, the Service is provided without charge and may be modified, rate-limited, or discontinued at our discretion. We will give reasonable notice before converting an early-access tier to paid.

Payment-card details are handled by Stripe under Stripe's own terms; blankit does not see or store full card numbers.

5.Customer data and privacy

As between the parties, you own all data you or your authorized users submit to the Service ("Customer Data"), including client lists, booklets, claims-experience documents, carrier quotes, renewal analyses, and plan-member chatbot transcripts. You grant blankit a limited, non-exclusive licence to host, process, transmit, display, and back up Customer Data solely to provide and improve the Service for you.

For Customer Data that constitutes personal information of plan sponsors or plan members, you are the controller and blankit is the processor. Our handling of personal information is described in our privacy policy and the sub-processors we rely on are listed at /sub-processors.

You represent that you have all consents, authorizations, and legal bases necessary to upload Customer Data to the Service and to permit blankit to process it as contemplated by these Terms.

6.Acceptable use

You will not, and will not permit any user to:

  • Use the Service in violation of applicable Canadian law, including privacy, securities, insurance, anti-spam (CASL), and human-rights legislation.
  • Upload personal health diagnoses, individual claim line items, biometric information, or social insurance numbers — the Service is not designed to hold this category of data.
  • Circumvent tenant isolation, attempt to access another firm's data, or probe the Service for vulnerabilities outside of a coordinated disclosure agreed with us in writing.
  • Resell, sublicense, or expose the Service to third parties outside your firm without our prior written consent.
  • Use the Service to send unsolicited marketing, harass plan members, or generate content that is defamatory, discriminatory, or harmful.
  • Use automated means to scrape, copy, or extract material portions of the Service or its outputs, other than via documented APIs.
  • Use the Service to train any machine-learning model that competes with blankit.

We may suspend access without prior notice if we reasonably believe continued use would breach this section, expose other customers to harm, or violate law. We will restore access promptly once the issue is resolved.

7.AI-generated output

The Service uses artificial intelligence to extract structured data from carrier documents, draft renewal narratives, and respond to plan-member coverage questions. AI output can be incomplete, inaccurate, or out of date.

You are responsible for reviewing all AI-generated content before relying on it, sharing it with clients or carriers, or using it to make a recommendation. blankit does not provide actuarial, legal, tax, or insurance advice, and AI output from the Service is not such advice.

8.Intellectual property

The Service, its software, design, content (other than Customer Data), and all related intellectual property are and will remain the property of blankit or its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term for your internal business purposes.

Feedback you provide about the Service is given non-confidentially; we may use it without restriction or compensation.

9.Third-party services

The Service interoperates with third-party services that you may choose to connect, including Salesforce, Google Workspace, and Stripe. Your use of those services is governed by their own terms. blankit is not responsible for the availability, accuracy, or practices of any third-party service.

10.Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service using the same degree of care it uses for its own confidential information, and not less than a reasonable degree of care. Confidential information may be used only to perform under these Terms and disclosed only to personnel with a need to know who are bound by comparable confidentiality obligations.

These obligations do not apply to information that is or becomes public through no fault of the receiving party, was independently developed without reference to the disclosing party's information, or is required to be disclosed by law (in which case the receiving party will give the other party reasonable notice where lawful to do so).

11.Service levels and support

We use commercially reasonable efforts to keep the Service available 24/7, with planned maintenance windows communicated in advance where practicable. We provide email support at chris@blankit.ca during Canadian business hours. Enterprise tiers may include written service-level commitments in an order form; in case of conflict, the order form controls.

12.Warranties and disclaimer

We warrant that we will provide the Service in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE EXPRESS WARRANTY IN THIS SECTION, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

13.Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO BLANKIT IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR CAD $100 IF NO FEES HAVE BEEN PAID.

The limitations above do not apply to: (a) a party's breach of its confidentiality obligations, (b) your obligation to pay fees due, (c) liability that cannot be limited under applicable law, or (d) a party's indemnification obligations under these Terms.

14.Indemnification

You will defend and indemnify blankit against any third-party claim arising from (i) Customer Data you submitted to the Service, (ii) your use of the Service in violation of these Terms or applicable law, or (iii) advice, recommendations, or documents you provided to your clients in reliance on Service output.

We will defend and indemnify you against any third-party claim that the Service, as provided by us and used in accordance with these Terms, infringes a Canadian patent, copyright, or trademark, and will pay damages and costs finally awarded against you.

15.Term and termination

These Terms apply for as long as you have an account or active subscription. Either party may terminate for material breach if the breach is not cured within 30 days after written notice. We may suspend or terminate immediately for non-payment, for activity that materially threatens the Service or other customers, or if required by law.

On termination: (a) your right to use the Service ends, (b) you may export your Customer Data through self-serve export, or by emailing chris@blankit.ca, within 30 days of termination, and (c) we will delete Customer Data within 90 days of termination, subject to the retention periods described in our privacy policy.

Sections that by their nature should survive termination — including fees accrued, intellectual property, confidentiality, warranty disclaimers, limitations of liability, indemnification, and governing law — will survive.

16.Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The parties submit to the exclusive jurisdiction of the courts of Ontario sitting in Toronto for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

17.Changes to these terms

We may update these Terms as the product or the legal landscape changes. Material changes will be communicated by email to firm billing contacts at least 30 days before they take effect and posted on this page. Your continued use of the Service after a change takes effect is acceptance of the updated Terms. The "Last updated" date at the top of the page shows the current version.

18.General

These Terms (together with any order form, our privacy policy, and our sub-processor list) constitute the entire agreement between the parties regarding the Service and supersede prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of substantially all our assets. Notices to you may be sent to the email on your firm's billing contact; notices to us must be sent to the address in the contact block below.
